Healthcare organizations that purchase or use Eletero software, implementation services, consulting, technology platforms, or other paid services may be subject to separate agreements, including service agreements, order forms, program appendices, Business Associate Agreements (“BAAs”), licensing terms, or other contractual terms.

If there is a conflict between these Website Terms and a separately executed agreement governing paid Eletero services, the separately executed agreement will control with respect to those services.

10.PROTECTED HEALTH INFORMATION

Do not submit patient medical records, protected health information (“PHI”), or other sensitive patient information through general Website contact forms, public email addresses, or other public-facing Website features unless Eletero specifically identifies a secure method authorized for that purpose.

Eletero’s processing of PHI on behalf of healthcare organizations through designated Eletero services may be governed by a separate BAA and other applicable agreements.

Use of this public Website alone does not create a Business Associate relationship between Eletero and a Website visitor.

If a dispute is not resolved through such efforts within a reasonable time, it will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator seated in Ohio. If the parties cannot agree on an arbitrator, one will be appointed in accordance with the American Arbitration Association’s rules.

Notwithstanding the foregoing, either party may seek emergency injunctive relief in a court of competent jurisdiction at any time to protect its intellectual property or confidential information.

Any dispute relating to these Terms or use of the Website that is not subject to arbitration under this Section will be subject to the jurisdiction of the appropriate state or federal courts located in Ohio, except where applicable law requires otherwise.

23.NO WAIVER

Eletero’s failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it later.
